terms of service

1. The service

uppwallet is software that lets businesses run digital loyalty programmes (stamp cards, points, vouchers, coupons and membership tiers) that their customers save to Google Wallet and Apple Wallet, and that they manage and message through WhatsApp, email and SMS. We provide it online, as a subscription, to businesses only. It is not offered to consumers.

2. Your account

• Give accurate details and keep them up to date.
• You sign in with one-time codes sent to your email, so keep that mailbox secure. You are responsible for everything done through your account, including by your staff.
• Tell us straight away at hello@uppwallet.com if you think someone has accessed your account without permission.

3. Free trial

New accounts get a 14-day free trial with no card required. Email and SMS sending is not available during the trial. When the trial ends, your account becomes read-only until you choose a paid plan; your data and your customers’ cards are kept.

4. Plans and payment

• Prices are in Malaysian ringgit and are shown on our pricing page. Each plan includes a monthly allowance of message credits for SMS and email. WhatsApp does not use message credits — you connect your own WhatsApp Business account, and Meta bills conversations directly to it.
• Plans are billed in advance, monthly or yearly, and renew automatically. We charge the card saved on your account at the start of each period. Payments are processed by Stripe.
• Upgrades take effect immediately, and we charge the price difference for the rest of the current period. Downgrades take effect at the end of the current period.
• If we change a price, we will email you at least 30 days before it applies to your next renewal.
• uppwallet is not currently registered for Sales and Service Tax, so no SST is charged.

5. Failed payments

If a payment fails, we retry it 1, 3 and 5 days later and let you know by email. Your account keeps working for 7 days after the first failure. If payment is still outstanding after that, the account becomes read-only until the amount due is paid.

6. Cancellation and refunds

• You can cancel at any time from Billing in the merchant portal. Your plan stays active until the end of the period you have paid for, and you will not be charged again.
• Fees already paid are not refundable, including for partly used periods, unless the law requires a refund. If we charged you by mistake, contact hello@uppwallet.com and we will put it right.

7. Your customers and their data

• Your loyalty programme is your own offer to your customers. You are responsible for its rules, the rewards you promise and honouring them.
• You are the data user for your customers’ personal data under the Personal Data Protection Act 2010. You must have a lawful basis to collect it, tell your customers how you use it, and only send marketing to customers who have agreed to receive it. uppwallet records that consent and handles opt-outs, but you remain responsible for respecting them.
• We process your customers’ data only to provide the service to you, as described in our privacy policy.

8. Acceptable use

You must not use uppwallet to:

• break any law, or promote illegal, harmful or age-restricted goods or services to people who may not lawfully buy them;
• send spam, or message people who have not agreed to hear from you;
• run misleading programmes, or offer rewards you do not intend to honour;
• break the rules of the platforms uppwallet relies on, including the Google Wallet and Apple Wallet guidelines and the WhatsApp Business and Commerce policies;
• interfere with, overload, probe or reverse-engineer the service, or access another merchant’s data.

9. Third-party platforms

uppwallet depends on services run by others, including Google, Apple, Meta and Stripe. Their approval processes, limits, fees and changes are outside our control and can affect what uppwallet can do. We will tell you promptly when a change affects you.

10. Content and ownership

You own your content (logos, designs and messages) and your data. You give us permission to use them only to provide the service, and confirm that you have the right to use everything you upload. We own uppwallet itself, including its software and brand.

11. Availability

We work to keep uppwallet available and reliable, but we cannot promise it will be uninterrupted or error-free. We will try to give notice of planned maintenance.

12. Suspension and closing an account

We may suspend or close an account that breaks these terms, puts other users or platforms at risk, or is not paid. Where it is reasonable, we will warn you first and give you a chance to fix the problem. You can close your account at any time. Ask us at hello@uppwallet.com for a copy of your data before you do.

13. Liability

• The service is provided “as is”, without promises beyond those in these terms.
• We are not liable for indirect or consequential losses, such as lost profits, lost revenue or lost data.
• Our total liability for any claim is limited to the fees you paid us in the 12 months before the claim arose.
• Nothing in these terms limits any liability that cannot be limited by law.

You agree to cover our reasonable costs if a claim is brought against us because of your loyalty programme, your messages to customers or your breach of these terms.

14. Changes to these terms

We may update these terms. For significant changes we will email you at least 30 days before they take effect. If you continue to use uppwallet after that, the new terms apply.

15. Governing law

These terms are governed by the laws of Malaysia, and the courts of Malaysia have jurisdiction.
